These Terms of Service ("Terms") govern the provision of consulting, development, and advisory services by Marian Stancik ("Provider", "I", "me") to the client ("Client", "you"). Services include but are not limited to:
2.1 Services are provided based on a mutual agreement (written proposal, email, or signed Statement of Work).
2.2 Each engagement shall specify: scope of work, deliverables, timeline, fee structure, and payment terms.
2.3 No services shall be deemed commenced until the Client has accepted the proposal in writing (email acceptance is sufficient).
3.1 Fees are quoted in EUR (€) and are exclusive of VAT if applicable. The Provider is not a VAT payer (nie je platiteľ DPH) as of the date of these Terms.
3.2 Payment terms are net 14 days from invoice date unless otherwise agreed in writing.
3.3 Late payments accrue interest at the statutory rate under Slovak law (OBČIANSKY ZÁKONNÍK § 369) plus €40 collection fee per overdue invoice.
3.4 All invoices are issued electronically and sent via email.
4.1 Upon full payment, all intellectual property rights to deliverables specifically created for the Client (code, documentation, designs) are transferred to the Client.
4.2 The Provider retains the right to:
4.3 Open-source software components remain subject to their respective licenses.
4.4 AI-generated code and content: Where deliverables include AI-assisted or AI-generated material, the Provider warrants that such material has been reviewed and tested before delivery. The Client acknowledges that AI-generated content may not be subject to copyright protection under applicable law.
5.1 Both parties agree to keep confidential any proprietary information shared during the engagement.
5.2 Confidential information does not include: information publicly available, independently developed, or rightfully obtained from a third party.
5.3 This obligation survives the termination of the engagement for 3 years.
6.1 Services are provided on a professional "reasonable skill and care" basis.
6.2 The Provider's total aggregate liability for any claim arising from the services is limited to the fees paid by the Client for the specific engagement giving rise to the claim.
6.3 The Provider is not liable for: loss of profits, loss of business, loss of data, or indirect/consequential losses.
6.4 This limitation does not apply to liability for death, personal injury, fraud, or gross negligence where prohibited by applicable law.
6.5 AI-generated content is provided as-is and reviewed by a human operator; the Provider does not warrant that AI-generated outputs are error-free, commercially suitable, or legally compliant for the Client's specific use case without independent verification.
The Client agrees to:
8.1 Either party may terminate the engagement with 14 days written notice.
8.2 Upon termination, the Client pays for all services rendered up to the termination date.
8.3 Sections 4 (IP), 5 (Confidentiality), 6 (Liability), and 10 (Governing Law) survive termination.
9.1 The Provider operates in accordance with the EU AI Act (Regulation (EU) 2024/1689) and applicable ethical AI guidelines.
9.2 Services are designed to help Clients achieve compliance with AI regulations, but the Provider does not guarantee regulatory compliance of the Client's specific deployment without a dedicated compliance audit.
9.3 The Provider reserves the right to refuse services that would violate applicable law or ethical standards.
10.1 These Terms are governed by the laws of the Slovak Republic.
10.2 Any disputes shall be resolved amicably first. If no resolution is reached within 30 days, disputes shall be resolved by the courts of the Slovak Republic.
10.3 In accordance with Slovak Act No. 391/2015 Coll. on Alternative Dispute Resolution, consumers have the right to out-of-court dispute resolution through the Slovak Trade Inspection (SOI).
